Banking and Financial Services
At Philip Lee our aim is to help borrowers and lenders do business as quickly and easily as possible. In particular, we review credit and security documentation and advise on the optimum structure for any particular form of lending.
Our lawyers have extensive experience in the area of banking and financial services regulation. This includes experience in the establishment of numerous regulated investment funds and expertise in connection with applications for licences under the Stock Exchange Act, 1995 and the Investment Intermediaries Act, 1995.
As a leading commercial law firm, Philip Lee has extensive experience in the negotiation, drafting and preparation of contracts. In addition to the usual range of commercial services provided by law firms, the firm has wide experience in handling the specialist needs of public sector and semi-state bodies when dealing with contractual matters. Almost all of our practice areas involve non-contentious transactional work and our contract negotiating and drafting experience therefore extends throughout these areas. Our experience includes both the negotiation and drafting of contracts for specific projects and transactions, and advising clients on preparing contract templates that can be adapted for regular use. We have prepared standard contracts for a number of clients, including the Heath Service Executive, Tourism Ireland, Marine Institute, Forfás and Sustainable Energy Authority Ireland. We also advised the Department of Finance in relation to the draft standard form design build clauses to reflect new governmental policy on risk allocation.
Insolvency and Distressed Assets
The firm has an experienced insolvency unit which has provided extensive advice to clients in the following areas:-
- Advising on schemes of rescue or restructuring from insolvent positions including examinerships, schemes of arrangements, and debt restructurings;
- Putting procedures in place to wind down businesses. We also advise on the dissolution of partnerships and on voluntary and compulsory winding up procedures; and
- Working with liquidators, receivers, and examiners on insolvency law issues, and acting as expert witnesses in associated litigation.
Corporate Governance and Business Regulation
Because we carry out so much work with statutory bodies, we are well positioned to advise on governance issues. We believe good governance means having an understanding of the law, its purpose and application, and the observance of procedural requirements and Codes of Practice. We have assisted organisations like the HSE, the four Dublin local authorities, RTE and the Marine Institute on the often conflicting legislation, guidelines and codes of practice of relevance to their operations.
Our advice in this regard takes account not only of specific corporate governance requirements specified for the public sector, but also encompasses governance, compliance and regulatory obligations imposed on private companies and financial institutions.
Start-ups and Emerging Business
Our vibrant corporate law practice has a significant focus on early stage companies. We are advisors to the Synergy Centre in Tallaght Institute of Technology, which provides welcome supports to hi–tech start-ups companies. Our lead partner Andreas McConnell frequently provides seminars and workshops on the legal dimensions of enabling more companies to take those first steps successfully. With an excellent knowledge of the complex challenges which face young growth companies in Ireland, we are recognised experts in transactional and advisory corporate and commercial law, private equity transactions, corporate acquisitions, joint ventures and company set up. We have particular expertise in intellectual property, and are ideally placed to advise on IP protection, technology transfer agreements and licensing arrangements.
